The short version: By using Tooru-enabled parking you agree to be charged automatically when you exit. Operators agree to our revenue share terms. Both parties agree to use the platform lawfully and honestly.
These Terms and Conditions ("Terms") govern your use of the Tooru parking management platform ("Tooru," "Service") operated by Tooru Technologies ("we," "us," or "our"). By using any Tooru-enabled parking facility, registering an account, or accessing our platform as an operator, you agree to these Terms.
Part A — Terms for Drivers
These terms apply to individuals who use Tooru-enabled parking facilities.
1. Account Registration
To use a Tooru-enabled parking facility you must:
- Provide your valid mobile phone number at the gate keypad
- Register a valid payment card via our Stripe-powered registration link
- Provide accurate billing address information
- Be at least 18 years of age
- Be legally permitted to operate a motor vehicle
You are responsible for maintaining the security of your account. Your account is tied to your phone number. Do not share your phone number with others for the purpose of using your Tooru account.
2. How Billing Works
By registering a payment card you authorise Tooru to charge your card automatically when you exit a parking facility. Specifically:
- Your card is not charged when you enter — only when you exit
- The amount charged is based on the time you were parked multiplied by the facility's posted rate
- Charges are rounded up to the nearest 15-minute increment
- A daily maximum cap applies at most facilities — you will not be charged more than the posted daily maximum regardless of how long you park
- Your card is charged in the currency of the country where the facility is located
Failed Payments
If your card is declined on exit, the gate will remain closed until payment is completed. You will receive an SMS with a link to update your payment method. Tooru reserves the right to suspend your account for repeated payment failures.
Disputes and Refunds
If you believe you were charged incorrectly, contact us at support@tooru.co within 30 days of the charge. We review all disputes and issue refunds where we confirm an error occurred. Refunds are returned to your original payment method within 5–10 business days.
3. SMS Communications
By registering at a Tooru-enabled facility you consent to receive transactional SMS messages. Reply STOP to any message to opt out. Note that opting out of SMS will prevent gate opening notifications and exit payment requests, which may affect your ability to exit the facility.
4. Vehicle and Plate Registration
Your license plate is linked to your account and used to identify your vehicle automatically. You may register multiple vehicles on one account. You must only register vehicles that you own or have authorisation to operate. Tooru is not responsible for charges incurred if another vehicle with a similar plate is mistakenly associated with your account — contact us immediately if this occurs.
5. Prohibited Use
You may not:
- Attempt to enter or exit a Tooru-enabled facility without payment
- Use a fraudulent, stolen, or unauthorised payment method
- Tamper with, damage, or obstruct any Tooru hardware
- Use the platform to facilitate illegal parking or vehicle storage
- Create multiple accounts to circumvent restrictions or fees
- Use another person's account without their authorisation
6. Limitation of Liability — Drivers
Tooru provides technology to facilitate parking access and payment. We are not the parking facility owner and are not responsible for:
- The condition, safety, or security of the parking facility
- Loss, theft, or damage to your vehicle or its contents while parked
- Facility access issues caused by power outages, equipment failure, or acts of nature
- Parking rates set by the facility operator
To the maximum extent permitted by law, Tooru's total liability to any driver shall not exceed the amount charged in the 30 days preceding the claim.
Part B — Terms for Operators
These terms apply to parking facility owners and managers who use Tooru's operator platform.
7. Operator Account
To become a Tooru operator you must:
- Purchase a Tooru hardware kit (Camera Kit $500, Gate Kit $1,500, or Complete Kit $1,500)
- Register your parking facility with accurate address and contact information
- Complete Stripe Connect onboarding to receive payouts
- Be a legally registered business or individual with authority to operate the parking facility
- Comply with all local, state/provincial, and national laws governing parking facility operation
8. Hardware and Installation
- Hardware kits are sold as physical products. All sales are final except where required by law.
- The Growth Guarantee: if your location processes 500 or more parking sessions within 6 months of activation, Tooru will credit 3 months platform fee purchase price in full. The refund is issued automatically — no claim required.
- Operators are responsible for self-installation of hardware. Tooru provides installation guides and remote support but does not send installation teams.
- Operators are responsible for obtaining any permits, licenses, or approvals required to operate camera-based parking management in their jurisdiction.
- Hardware remains the property of the operator upon purchase. Tooru does not reclaim hardware upon cancellation.
9. Revenue Share and Fees
- Platform fee: $100/month per active location, waived for the first 3 months after activation
- Revenue share: Tooru retains a percentage of parking session revenue as follows:
- Under $3,000/month gross revenue → Tooru keeps 25%, you keep 75%
- $3,000 – $10,000/month → Tooru keeps 22%, you keep 78%
- $10,000 – $20,000/month → Tooru keeps 20%, you keep 80%
- $20,000 – $30,000/month → Tooru keeps 18%, you keep 82%
- Over $30,000/month → Tooru keeps 15%, you keep 85%
Revenue share tiers are calculated monthly and applied automatically. Operator settlements are paid daily via Stripe Connect to the operator's registered bank account.
10. Operator Responsibilities
As a Tooru operator you are responsible for:
- Setting parking rates that comply with local regulations
- Clearly displaying posted parking rates and terms at your facility
- Maintaining the physical parking facility in a safe and lawful condition
- Ensuring adequate signage informing drivers that ANPR cameras are in use
- Complying with privacy laws applicable in your jurisdiction regarding ANPR use
- Promptly reporting hardware faults or security issues to Tooru
- Keeping your Stripe Connect account in good standing for payouts
11. Cancellation and Exit
- Operators may cancel their Tooru subscription with 30 days written notice
- No early termination fees apply
- Upon cancellation, operator data can be exported on request within 30 days
- Hardware purchased is kept by the operator — it does not need to be returned
- Outstanding session payments owed to the operator at time of cancellation will be settled within 14 days
12. Prohibited Operator Conduct
Operators may not:
- Use Tooru to charge drivers for sessions that did not occur
- Set rates or policies that violate applicable consumer protection laws
- Resell, sublicense, or transfer the Tooru platform without written consent
- Attempt to reverse-engineer, modify, or tamper with Tooru software or hardware
- Use driver data collected through Tooru for any purpose other than managing their parking facility
Part C — General Terms
13. Intellectual Property
All Tooru software, hardware designs, trademarks, and platform content are the intellectual property of Tooru Technologies. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose. No other rights are granted.
14. Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
15. Disclaimer of Warranties
The Tooru platform is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or that recognition accuracy will be 100%. We target 99%+ plate recognition accuracy but do not guarantee it in all conditions.
16. Governing Law
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Cook County, Illinois, unless otherwise required by applicable consumer protection law in your jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. We will notify operators by email and drivers by SMS of material changes at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance.
